EDGAR publishes new filings continuously, and you can filter the full-text search for form “8-K”. The catch is volume and noise: hundreds of 8-Ks are filed every day, most of them routine. The important part is in the item codes — the numbered sections that say why the 8-K was filed.
The item codes that matter
A few worth watching: Item 1.01 (entry into a material agreement), Item 2.01 (completion of an acquisition), Item 4.02 (non-reliance on previously issued financials — a restatement red flag), Item 5.02 (departure/appointment of directors or officers), and Item 1.05 (material cybersecurity incident). Filtering on the items you care about is what turns a firehose into a watchlist.
Why monitoring gets hard
Doing this continuously means polling EDGAR on a schedule, respecting fair-access limits, parsing the item codes out of each filing, and storing it somewhere you can query — then layering alerts on top. It’s very doable, and it’s also a standing maintenance job.
