Every week, hundreds of U.S. companies and funds quietly raise private capital — and they’re required to tell the SEC within 15 days via a Form D filing. That makes Form D the earliest public disclosure of a private raise: VC and PE fund closes, startup rounds, real-estate syndications, SPVs. The problem is EDGAR is a firehose of raw filings.   • new_private_raise vs follow_on_or_update — first Form D, or an amendment / additional close.
  • raise_stage — VC fund, pooled fund (PE / hedge / other), or operating-company raise.
  • raise_amount_band — <$1M · $1M–$5M · $5M–$25M · $25M–$100M · $100M+.
  • exemption — 506(b) (no general solicitation), 506(c) (solicitation allowed), or 504.
  • Plus issuer, CIK, industry, jurisdiction, amount sold, offering amount, minimum investment, and the source filing URL.
